These Terms & Conditions (“Terms”) govern your access to and use of the OneDesk website, applications, and services (collectively, the “Services”). By accessing or using OneDesk, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. About OneDesk

“OneDesk,” “we,” “us,” or “our” refers to OneDesk and its affiliates, operators, and service providers. OneDesk provides customer support, helpdesk, ticketing, communication, and related business productivity software delivered as a cloud-based service.

2. Eligibility & Account Registration

To use the Services, you must:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials

You are responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or security breach.

You agree not to:

  • Fees are billed in advance based on your selected plan
  • All fees are non-refundable unless required by law or explicitly stated
  • You authorize us to charge your payment method for recurring fees
  • We may change pricing with reasonable prior notice

Failure to pay may result in suspension or termination of your account.

5. Free Trials & Beta Features

OneDesk may offer free trials, early access, or beta features.

These features are provided “as is” and may:

  • Contain bugs or errors
  • Be modified or discontinued at any time
  • Not be suitable for production use

We provide no guarantees or support obligations for beta or trial features.

6. Customer Data & Privacy

You retain ownership of all data you submit to OneDesk (“Customer Data”).

We will:

  • Use Customer Data only to provide and improve the Services
  • Implement reasonable security measures to protect Customer Data
  • Process personal data in accordance with our Privacy Policy

We provide no guarantees or support obligations for beta or trial features.

7. Intellectual Property

All OneDesk software, trademarks, logos, designs, and content are the exclusive property of OneDesk or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Services during your subscription term.

You may not:

  • Copy, modify, or distribute OneDesk content
  • Use OneDesk branding without written permission
  • Claim ownership of any OneDesk intellectual property

8. Third-Party Services

OneDesk may integrate with or link to third-party services.

We are not responsible for:

  • Third-party content or services
  • Availability or security of third-party platforms
  • Any losses caused by third-party providers

Your use of third-party services is subject to their own terms and policies.

9. Service Availability & Changes

We do not guarantee uninterrupted or error-free operation.

10. Termination

You may cancel your account at any time.

Upon termination, your right to use the Services will immediately end.

11. Disclaimer of Warranties

To the maximum extent permitted by law, OneDesk disclaims all warranties, including:

12. Limitation of Liability

To the maximum extent permitted by law, OneDesk will not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data, profits, or business opportunities
  • Service interruptions or security breaches

Our total liability will not exceed the amount paid by you to OneDesk in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold OneDesk harmless from any claims, damages, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or third-party rights

14. Governing Law & Dispute Resolution

These Terms will be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Any disputes will be resolved through binding arbitration or competent courts as determined by OneDesk, unless prohibited by law.

15. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on our website.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
